By accessing or using AIVAON's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services. These terms apply to all users of the service, including without limitation users who are browsers, vendors, customers, merchants, and contributors of content.

AIVAON provides an AI-powered voice agent platform that enables users to create, deploy, and manage voice AI applications. Our services include: - Voice agent creation and management - Text-to-speech synthesis - Voice call handling and routing - Analytics and monitoring tools - API access and integrations - Related support and documentation We reserve the right to modify, suspend, or discontinue any aspect of our services at any time.

To use certain features of our services, you must create an account. You agree to: - Provide accurate, current, and complete information - Maintain and update your information as necessary - Maintain the security of your password and account - Accept responsibility for all activities under your account - Notify us immediately of any unauthorized use You are responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account.

You agree not to use our services to: - Violate any applicable laws or regulations - Infringe upon the rights of others - Transmit harmful, offensive, or illegal content - Interfere with or disrupt our services or servers - Attempt to gain unauthorized access to our systems - Use our services for spam, phishing, or fraud - Reverse engineer, decompile, or disassemble our software - Use automated systems to access our services without permission - Resell or redistribute our services without authorization We reserve the right to suspend or terminate accounts that violate these terms.

All content, features, and functionality of our services are owned by AIVAON and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You retain ownership of content you create using our services. By using our services, you grant us a license to use, store, and process your content as necessary to provide our services. You may not copy, modify, distribute, sell, or lease any part of our services without our written permission.

We scope and price each engagement based on the system required to solve your problem. - For self-serve plans (Starter, Professional), fees are as published on our pricing page - For Enterprise plans, fees and scope are agreed in your engagement agreement - Payment terms (e.g. monthly, annual) are set at time of subscription or in your agreement - All fees are non-refundable except as required by law - We may change fees or scope with notice as set forth in your agreement - Failure to pay may result in service suspension or termination - You are responsible for all applicable taxes Engagement terms and usage limits are defined in your scoped agreement. We reserve the right to modify or discontinue offerings with notice as set forth in that agreement.

We strive to provide reliable service but do not guarantee: - Uninterrupted or error-free service - That defects will be corrected - That our services will meet your specific requirements We may perform scheduled maintenance that may temporarily interrupt service. We will provide advance notice when possible. We are not liable for any damages resulting from service interruptions or failures.

TO THE MAXIMUM EXTENT PERMITTED BY LAW: - AIVAON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES - OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM - WE PROVIDE OUR SERVICES "AS IS" WITHOUT WARRANTIES OF ANY KIND Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you.

You agree to indemnify and hold harmless AIVAON, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: - Your use of our services - Your violation of these terms - Your violation of any rights of another party - Content you submit or transmit through our services

We may terminate or suspend your account and access to our services immediately, without prior notice, for any reason, including: - Breach of these terms - Fraudulent, illegal, or harmful activity - Non-payment of fees - Extended periods of inactivity Upon termination, your right to use our services will immediately cease. We may delete your account and data, though we may retain certain information as required by law.

These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these terms or our services shall be resolved in the state and federal courts located in San Francisco, California.

We reserve the right to modify these terms at any time. We will notify you of material changes by: - Posting the updated terms on this page - Updating the "Last Updated" date - Sending you an email notification (for significant changes) Your continued use of our services after changes become effective constitutes acceptance of the updated terms. If you do not agree to the changes, you must stop using our services.

AIVAON is not a replacement for emergency services. If you are experiencing a medical emergency, fire, crime in progress, or any other life-threatening situation, please call your local emergency services (911 in the United States) immediately. Do not use AIVAON for: - Medical emergencies - Fire emergencies - Active crimes or threats - Natural disasters requiring immediate evacuation - Any situation requiring immediate emergency response AIVAON routes requests to third-party service providers and cannot guarantee response times suitable for emergencies.

AIVAON routes your request but does not employ service providers. AIVAON operates as a technology platform that connects users seeking services with independent service providers. We facilitate connections but are not a service provider ourselves. Key points: - AIVAON does not directly provide the services requested - Service providers are independent third parties, not employees or agents of AIVAON - AIVAON is not responsible for the quality, timeliness, or outcome of services provided by third parties - Any agreement for services is between you and the service provider, not AIVAON - AIVAON's role is limited to facilitating the connection and processing payment transactions We do not guarantee: - The availability of service providers in your area - Response times or service completion times - The quality or outcome of services provided - The qualifications, licensing, or insurance of service providers You are responsible for verifying the credentials, licensing, and insurance of any service provider before engaging their services.

HIPAA Notice: AIVAON is not a healthcare provider and does not provide medical advice, diagnosis, or treatment. If you are using AIVAON to connect with healthcare providers: - AIVAON does not create a patient-provider relationship - We do not store or transmit Protected Health Information (PHI) unless explicitly authorized - Healthcare providers are responsible for HIPAA compliance in their interactions with patients - AIVAON may facilitate connections but is not a Business Associate under HIPAA - Any medical information shared through our platform is subject to the privacy policies of the healthcare provider For medical emergencies, call 911 immediately. Do not use AIVAON for urgent medical needs. AIVAON does not: - Provide medical advice or diagnosis - Prescribe medications - Make medical decisions - Guarantee the qualifications or licensing of healthcare providers Always verify the credentials and licensing of healthcare providers independently.

Service providers are independent contractors. All service providers available through AIVAON are independent contractors, not employees, agents, or representatives of AIVAON. This means: - Service providers operate their own businesses independently - They set their own prices, schedules, and service terms - They are responsible for their own licensing, insurance, and compliance - AIVAON does not control how providers perform their services - Providers are not authorized to act on behalf of AIVAON AIVAON's relationship with service providers is limited to: - Facilitating connections between users and providers - Processing payment transactions - Providing technology infrastructure for communication Any disputes regarding services provided must be resolved directly with the service provider. AIVAON may assist in facilitating communication but is not a party to any service agreement between you and a provider. Service providers are responsible for: - Their own business operations and compliance - Obtaining necessary licenses and permits - Maintaining appropriate insurance coverage - Complying with all applicable laws and regulations - The quality and outcome of services they provide
